1. Acceptance of Terms

By accessing or using the website dewatatech.com (the "Website") or engaging the services of Dewata Tech ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.

You represent that you are at least 17 years of age or have the legal capacity to enter into binding agreements under Indonesian law.

2. Definitions

For the purposes of these Terms:

• "Services" refers to all digital services offered by Dewata Tech, including but not limited to software development, web design and development, AI integration, SEO services, and digital advertising management.
• "Client" refers to any individual or entity that engages Dewata Tech for Services.
• "Website" refers to dewatatech.com and all associated subdomains.
• "Content" refers to all text, images, code, designs, and other materials displayed on the Website.
• "Deliverables" refers to all work products created by Dewata Tech for a Client as part of a project engagement.

3. Services

Dewata Tech provides digital services including software development, web agency solutions, and AI integration. The specific scope, timeline, and deliverables for each project engagement are defined in a separate project proposal or Statement of Work (SOW) agreed upon by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

4. Use of Website

You may use our Website for lawful purposes only. You agree not to:

• Use the Website in any way that violates applicable Indonesian or international laws or regulations.
• Attempt to gain unauthorized access to any part of the Website, its servers, or any connected systems.
• Introduce malware, viruses, or any other harmful code to the Website.
• Scrape, copy, or reproduce Website content without our prior written consent.
• Use automated systems (bots, crawlers) to access the Website in a manner that exceeds reasonable use.

5. Intellectual Property

All content on the Website, including text, graphics, logos, icons, images, and software, is the property of Dewata Tech or its licensors and is protected by Indonesian and international intellectual property laws.

• Website Content: All original content on our Website remains the intellectual property of Dewata Tech.
• Project Deliverables: Upon full payment of all agreed fees, intellectual property rights for custom project Deliverables transfer to the Client, unless otherwise specified in the project agreement.
• Open Source Components: Any open-source software included in Deliverables is subject to its respective open-source license terms.
• Portfolio Use: Dewata Tech reserves the right to display completed project work in its portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place.

6. Project Engagement and Payment

For project-based Services:

• All project quotations are valid for 30 days from the date of issuance unless otherwise stated.
• Payment terms are defined in the project proposal or SOW, typically structured as milestone-based payments.
• Payments may be made in Indonesian Rupiah (IDR) or US Dollars (USD) as agreed.
• Late payments beyond 14 days may result in project suspension. Interest may be charged on overdue amounts at the rate of 1.5% per month.
• Additional work beyond the agreed scope ("change orders") will be quoted and must be approved by the Client before commencement.

7. Client Responsibilities

When engaging our Services, you are responsible for:

• Providing all necessary content, assets, and materials in a timely manner as specified in the project timeline.
• Providing timely feedback and approvals at agreed project milestones.
• Ensuring the accuracy and legality of all content you provide to us.
• Maintaining the confidentiality of any account credentials or access we provide to you.
• Obtaining necessary licenses or permissions for any third-party content you request us to incorporate.

8. Warranties and Disclaimers

The Website is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. While we strive to keep the Website content accurate and up-to-date, we make no guarantees regarding completeness, reliability, or availability.

For project Deliverables, we warrant that the work will be performed in a professional manner consistent with industry standards and will materially conform to the specifications agreed upon in the SOW.

9. Limitation of Liability

To the maximum extent permitted by Indonesian law:

• Dewata Tech's total liability for any claim arising from Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• We are not liable for any damages resulting from the Client's failure to maintain security of their systems, credentials, or deployed applications.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project engagement. Confidential information includes but is not limited to business plans, technical specifications, financial information, and trade secrets.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Termination

Either party may terminate a project engagement under the following conditions:

• By mutual written agreement of both parties.
• By either party with 14 days' written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days of receiving notice.
• By Dewata Tech immediately if the Client fails to make payment within 30 days of the due date.

Upon termination, the Client shall pay for all Services rendered and expenses incurred up to the termination date. Any Deliverables for which full payment has been made shall be delivered to the Client.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from events beyond reasonable control, including but not limited to natural disasters, pandemic, government actions or restrictions, power outages, internet service disruptions, or civil unrest.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, including but not limited to Law No. 11 of 2008 on Electronic Information and Transactions (UU ITE) as amended.

• Mediation: Both parties agree to first attempt to resolve any dispute through good-faith mediation.
• Jurisdiction: If mediation fails, disputes shall be submitted to the jurisdiction of Pengadilan Negeri Denpasar (Denpasar District Court), Bali, Indonesia.
• Language: Legal proceedings shall be conducted in Bahasa Indonesia, with English translations provided as needed.

14. Indemnification

The Client agrees to indemnify, defend, and hold harmless Dewata Tech, its founders, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to content provided by the Client, the Client's use of Deliverables, or the Client's violation of these Terms.

15. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where possible, provide notice to active Clients. Your continued use of the Website or Services after such changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with any project-specific Statement of Work (SOW) or proposal, constitute the entire agreement between you and Dewata Tech regarding the subject matter hereof. These Terms supersede all prior agreements, communications, and understandings, whether written or oral.
